Terms of Conditions - Short/Long-term Rental Real Estate Photo Licensing
1. Definitions
• "Photographer" refers to MGP Real Estate Media.
• "Client" refers to the party purchasing the licensing rights to the photos.
• "Photos" refer to the real estate photographs captured and edited by Photographer.
2. License Grant
• Photographer, operating under the business name "MGP | Services de médias immobilier - Real Estate Media Service," grants Client a non-exclusive, non-transferable license to use the Photos for the purpose specified in the purchase agreement (short-term or long-term rental listing).
3. Usage Rights
• Client shall not use the Photos for any purpose other than the specified rental listing.
• Client shall not sublicense, sell, or transfer the rights granted herein to any third party without the prior written consent of Photographer.
4. Ownership and Copyright
• Photographer, operating under the business name "MGP | Services de médias immobilier - Real Estate Media Service," retains all rights, including copyright, in the Photos.
• Client shall not claim any ownership or authorship rights in the Photos.
5. License Fee
• Client shall pay Photographer, operating under the business name "MGP | Services de médias immobilier - Real Estate Media Service," the agreed-upon licensing fee as specified in the purchase agreement.
• Payment is due within the timeframe outlined in the agreement.
6. Duration
• The license shall be effective from the date of payment and shall remain in effect until terminated by either party.
7. Exclusivity
• The license granted to Client is non-exclusive, and Photographer, operating under the business name "MGP | Services de médias immobilier - Real Estate Media Service," retains the right to license the Photos to other parties.
8. Prohibited Uses
• Client shall not use the Photos for any purpose other than that specified in the purchase agreement.
• Client shall not modify or manipulate the Photos in a way that distorts their original content or context.
9. Indemnification
• Client agrees to indemnify and hold Photographer, operating under the business name "MGP | Services de médias immobilier - Real Estate Media Service," harmless from any claims, liabilities, costs, or expenses arising out of Client's use of the Photos.
10. Termination
• Either party may terminate the license agreement by providing written notice to the other party.
• Upon termination, Client shall cease using the Photos, and any outstanding licensing fees shall remain due and payable.
11. Governing Law
• This agreement shall be governed by and construed in accordance with the laws of the province of Quebec, Canada.
12. Entire Agreement
• This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, oral or written.
• By purchasing the license, Client agrees to abide by these Terms of Conditions. Violation of any of the terms may result in legal action.
